By accessing our website, requesting quotes, placing orders, or engaging in any business with Shaktiraj Agri Export, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Note: All services are provided on a B2B (Business-to-Business) basis. We do not sell directly to individual consumers.
4. Orders and Quotations
4.1 Quotation Process
- All quotations are provided in good faith based on prevailing market conditions
- Quotations are valid for 7 days unless otherwise stated
- Prices are subject to change based on market fluctuations
- Quotations do not constitute a binding offer until confirmed
4.2 Order Confirmation
- Orders must be confirmed in writing (email or official purchase order)
- We reserve the right to accept or decline any order
- A Proforma Invoice (PI) will be issued upon order acceptance
- Order confirmation requires advance payment as specified
- Specifications, quantities, and delivery terms must be clearly stated
4.3 Minimum Order Quantity (MOQ)
Most products have a minimum order quantity of one 20ft container (approximately 20-26 MT depending on product). Smaller quantities may be considered at different pricing.
4.4 Order Modifications
- Changes to confirmed orders must be requested in writing
- We will accommodate changes where possible, subject to feasibility
- Additional charges may apply for order modifications
- Changes after production commencement may not be possible
5. Pricing and Payment Terms
5.1 Pricing
- All prices are quoted in USD (United States Dollars) unless otherwise specified
- Prices are based on current market rates and subject to change
- Prices include standard packaging unless specified otherwise
- Additional services (special packaging, certifications) will be charged separately
- Government taxes, duties, and levies are extra unless stated
5.2 Payment Terms
Standard Payment Terms:
- New Customers: 100% advance payment or Letter of Credit (L/C) at sight
- Regular Customers: 30% advance, balance against document copy or L/C
- Credit Terms: Available to established customers after credit evaluation
5.3 Payment Methods
- Wire Transfer/TT: Direct bank transfer (preferred method)
- Letter of Credit (L/C): Confirmed, irrevocable L/C from reputable banks
- Other Methods: To be discussed and agreed upon
5.4 Late Payment
- Payment must be made as per agreed terms
- Late payment may incur interest charges at 2% per month or as per applicable law
- Continued business relationship depends on timely payments
- We reserve the right to suspend further orders for overdue accounts
6. Shipping, Delivery, and Incoterms
6.1 Incoterms
We offer the following Incoterms® 2020 options:
FOB
Free On Board - Origin port
CFR/CNF
Cost and Freight - Destination port
CIF
Cost, Insurance, Freight - Destination port
Other terms available upon request and mutual agreement.
6.2 Delivery Timeline
- Typical delivery time: 15-30 days from receipt of confirmed order and payment
- Timeline depends on product availability, quantity, and destination
- Estimated shipping dates are indicative and not guaranteed
- Delays due to force majeure, port congestion, or government restrictions are beyond our control
6.3 Shipping Documents
Standard documents provided:
- Commercial Invoice
- Packing List
- Bill of Lading (B/L)
- Certificate of Origin
- Phytosanitary Certificate
- Quality/Health Certificate
- Fumigation Certificate (if applicable)
- Insurance Certificate (for CIF terms)
- Other documents as required by destination country
6.4 Risk Transfer
Risk transfers as per agreed Incoterms. Once goods are handed over to the carrier (for FOB/CFR/CIF), risk of loss or damage passes to the buyer.
7. Product Quality and Specifications
7.1 Quality Standards
- All products meet specifications mentioned in the Proforma Invoice
- Products comply with applicable Indian export standards
- Quality parameters are tested by accredited laboratories
- Certificate of Analysis provided with each shipment
7.2 Pre-Shipment Inspection
- Buyers may arrange third-party inspection at their cost
- Inspection should be completed within agreed timeframe
- Inspection agencies: SGS, Bureau Veritas, Intertek, or buyer's choice
- Shipment will proceed upon inspection approval or buyer's waiver
7.3 Quality Claims
Claim Procedure:
- Claims must be notified within 7 days of container arrival
- Provide photographic evidence and inspection report
- Joint survey by agreed surveyors if required
- Claims submitted after 15 days will not be entertained
- Resolution through mutual discussion or arbitration
7.4 Warranty Disclaimer
Products are sold "as is" based on specifications. We do not provide warranties beyond meeting agreed specifications. Natural agricultural products may have inherent variations.
8. Intellectual Property
All content on our website including text, images, logos, designs, and materials are the property of Shaktiraj Agri Export or licensed to us.

- Product images and descriptions are for reference only
- Company name, logo, and branding are our trademarks
- Unauthorized use may result in legal action
9. Limitation of Liability
9.1 Liability Limits
- Our liability is limited to the invoice value of goods in question
- We are not liable for indirect, consequential, or special damages
- No liability for losses due to force majeure events
- No liability for errors in third-party services (shipping, inspection)
9.2 Force Majeure
We are not liable for delays or failures due to:
- Natural disasters, pandemics, epidemics
- War, terrorism, civil unrest
- Government actions, embargoes, sanctions
- Port strikes, transportation disruptions
- Crop failures, unforeseen supply shortages
- Any event beyond reasonable control
9.3 Buyer's Responsibility
- Buyer must verify import requirements of their country
- Buyer responsible for import duties, taxes, and clearance
- Buyer must ensure products meet their country's regulations
- Buyer indemnifies us against claims arising from product use
10. Cancellation and Refund Policy
10.1 Cancellation by Buyer
- Cancellation before production: 10% cancellation charges
- Cancellation after production start: 50% of order value
- Cancellation after goods ready: No refund, full payment due
- All cancellations must be in writing
10.2 Cancellation by Seller
We may cancel orders due to:
- Non-payment or payment delays
- Product unavailability due to unforeseen circumstances
- Failure to meet credit checks
- In such cases, advance payment will be refunded
10.3 Refunds
- Refunds processed within 15-30 business days
- Refunds made via original payment method
- Bank charges for refund transfer borne by buyer
- Partial refunds may apply for valid quality claims
11. Confidentiality
Both parties agree to maintain confidentiality of:
- Pricing information and commercial terms
- Business strategies and plans
- Customer lists and contact information
- Technical specifications and product details
- Any information marked as confidential
12. Dispute Resolution and Governing Law
12.1 Amicable Resolution
Parties agree to first attempt resolution through good faith negotiations.
12.2 Arbitration
If negotiation fails, disputes will be resolved through:
- Arbitration under Indian Arbitration and Conciliation Act, 1996
- Seat of arbitration: Rajkot, Gujarat, India
- Language: English
- Number of arbitrators: One or three (as mutually agreed)
12.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Courts in Rajkot, Gujarat shall have exclusive jurisdiction.
13. Website Use and Restrictions
When using our website, you agree NOT to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to systems
- Transmit viruses or malicious code
- Scrape or harvest data without permission
- Impersonate another person or entity
- Interfere with website functionality
- Use automated systems to access the site excessively
Violation may result in immediate termination of access and legal action.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website with an updated "Last Updated" date.
Continued use of our services after changes constitutes acceptance of modified Terms. Existing orders will be governed by Terms in effect at the time of order placement.
15. Severability and Waiver
Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.
Waiver: Failure to enforce any right or provision does not constitute a waiver of such right or provision.
16. Entire Agreement
These Terms, together with our Privacy Policy and any specific order agreements, constitute the entire agreement between you and Shaktiraj Agri Export, superseding all prior agreements or understandings.
